What is Crowdcube?
Crowdcube is an equity crowdfunding platform. You can invest money in return for equity in a business, and we can secure funding directly from our biggest supporters – you.
Once you invest through Crowdcube, they’ll hold the shares you’ve acquired for you. Buying a share means you own a % of Vestiaire Collective.
We've partnered with Crowdcube because of their very strong reputation and because they share our conviction that the best way for a business to grow is to empower its community to support a cause they believe in. And, as a fellow B Corp, their values align with those of our community.
Does signing up for Early Access commit me to investing?
Not at all. Registering your interest in the Early Access phase means you’ll have the exclusive opportunity to invest first, on February 6th, before we open the Subscription phase to a broader audience. This exclusive access is valuable because once we’ve reached our maximum target, we’ll close the crowdfunding round.
What type of shares would I own?
The shares we’re offering are called preferred shares (Series I1). Those preferred shares are the most senior equity instruments in Vestiaire Collective’s capital table at the moment, therefore providing substantial downside protection. Preferred shares have voting rights on any resolution put to the shareholders plus preferential rights to receive proceeds in case of exit (known as a liquidation preference).
Once the round is complete, if there is a resolution that requires your vote, Crowdcube will manage the process. Vestiaire Collective will notify them of the resolution, and all investors will be contacted to ask which way they would like to vote. Whatever the outcome of the majority is, Crowdcube will vote that way as a block.
Why does Vestiaire Collective need this funding?
We are launching this as an opportunity for our community to be part of our project, not as a request to raise capital. Rather than including more institutional investors in our latest fundraising round, we are inviting our community of 15 million to invest via Crowdcube.
We are opening this opportunity to our community because we believe we can transform the fashion industry towards a more sustainable future and because we want our members and contributors to share in our company’s future success.
How do I invest?
You will need to set up an account with Crowdcube and your investment will be administered through that Crowdcube account. Joining Crowdcube is free and carries no obligation to invest.

Do I need to pass a test to invest?

How can I make money on my shares?
As with any investment, there are risks associated with crowdfunding investments, particularly when investing in private companies. Please check these here.
Vestiaire Collective has the ambition to IPO on a stock exchange, which would allow you to sell your shares. If this happens, Vestiaire Collective hopes that it would be at a higher share price than when you invested, meaning you’d get a return on your investment.
But the opposite is also possible, if things go wrong, you might lose some or all of your investment.
Who can invest?
You must be over the age of 18. You’ll also need to be a resident of the UK, EU or a country where you may legally receive financial promotions of the nature provided. If you are a resident from the UAE, the United States, Canada and Japan you won’t be able to invest due to local regulations.
Can I sell my shares?
You can only make a return on your investment if there is an 'exit' or 'Liquidity event' such as a secondary transaction, trade sale or IPO. This is a long-term investment horizon so you should only invest what you can afford to lose or don't need in the short/medium term.
